1.Agreement to These Terms
These Terms of Service ("Terms") are an agreement between you and Reine Collective, Inc. ("Reine," "we," "us" or "our"). They govern your use of the Reine mobile application and related services (together, the "Services"). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
2.Eligibility
You must be at least 18 years old and able to enter into a binding contract to use the Services. We ask for your birthday when you sign up to confirm this, and we may close any account that does not meet this requirement. You must also have the right to connect each social account you add to Reine.
3.Your Account
- Access. Reine is currently available by invitation or approval. We may decide who receives access and may limit or change access at any time.
- Signing in. You sign in with a one-time code sent to your phone, a link sent to your email or, if you set one, a password.
- Accurate information. You agree to provide accurate information, including your name and birthday, and to keep it up to date.
- Security. You are responsible for activity on your account and for keeping your phone, email and password secure. Tell us at hello@reinecollective.com if you think someone else has accessed your account.
4.Connected Accounts
To use Reine you must connect an Instagram or TikTok account, and you may also connect LinkedIn. By connecting an account, you authorize Reine to access information from it as described in our Privacy Policy and, when you instruct us to, to publish content to it. Your use of those platforms remains subject to their own terms, and you are responsible for complying with them. You can disconnect any account at any time in Settings > Account. We are not responsible for the availability or actions of these platforms, and a platform may limit or end Reine's access at any time.
5.AI Features and the Brand Score
- AI output. Reine's chat replies, recommendations, briefs, captions and edits are generated by artificial intelligence. They can be inaccurate, incomplete or unsuitable, and they are not professional, legal, financial, medical or career advice.
- You stay in control. Review everything before you use it. You decide what to publish, and you are responsible for what you publish.
- The Brand Score is an estimate calculated from the data available to us about your accounts. It is not a guarantee of any outcome, and we do not promise that using Reine will grow your audience, engagement, income or opportunities.
6.Your Content
You keep ownership of the photos, videos, audio, text and other material you upload or create with Reine ("Your Content"). You grant Reine a worldwide, non-exclusive, royalty-free license to host, store, copy, process, adapt (for example by editing, cropping, cutting and captioning) and transmit Your Content, solely to provide the Services to you, including publishing Your Content where you instruct us to. This license ends when Your Content is deleted from our systems, except for content you have already published to a platform.
You confirm that you own or have permission to use everything in Your Content, including any music, images, logos or likenesses of other people, and that it does not violate the law or anyone's rights.
Photos and videos you upload in the Make tab are deleted from our storage 7 days after upload. Keep your own copies.
7.Publishing
Reine publishes to your connected accounts only when you choose to post. Once published, content is governed by the platform's terms, and it remains on the platform until you remove it there. We are not responsible for how a platform displays, ranks or moderates your content.
8.Acceptable Use
You agree not to:
- Break the law, or infringe or misappropriate anyone's rights, including intellectual property, privacy and publicity rights;
- Harass, threaten, impersonate or deceive others, or publish false or misleading content;
- Upload malware or anything designed to harm the Services or other people;
- Access or try to access accounts, data or systems you are not authorized to use;
- Copy, scrape, reverse engineer or resell the Services, or use bots or automated means to access them without our permission;
- Use the Services to break the rules of the platforms you connect; or
- Use the Services for commercial purposes other than building your own personal brand, without our written consent.
9.Intellectual Property
The Services, including the app, its design, software, text and graphics, and the Reine name and logo, belong to Reine or its licensors and are protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable license to use the app on devices you own or control. If you send us feedback or ideas, we may use them without any obligation to you.
10.Fees
The Services are currently free. If we introduce paid features, we will tell you the price and terms before you are charged, and you will only be charged if you choose to buy them.
11.App Stores
If you downloaded the app from the Apple App Store or Google Play, these Terms are between you and Reine, not Apple or Google, and Reine alone is responsible for the app. Your use of the app must also comply with the applicable app store's terms of use.
12.Suspension and Termination
You may stop using the Services and delete your account at any time in the app; see how to delete your account. We may suspend or end your access if you breach these Terms, if you do not meet the eligibility requirements, if your use creates a risk for Reine, other users or a platform, or if we stop offering the Services. Sections that by their nature should survive, including Your Content (for content already published), Intellectual Property, Disclaimers, Limitation of Liability, Indemnification and Governing Law, survive termination.
13.Disclaimers
The Services are provided "as is" and "as available." To the fullest extent permitted by law, Reine disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Services will be uninterrupted, secure or error-free, or that any result, score or recommendation will be accurate or achieve any outcome.
14.Limitation of Liability
To the fullest extent permitted by law, Reine and its affiliates, officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, opportunities or goodwill, arising from or related to your use of the Services. Our total liability for any claim related to the Services will not exceed the greater of $100 or the amount you paid us in the six months before the claim arose. Some jurisdictions do not allow these limitations, so they may not all apply to you.
15.Indemnification
You agree to defend, indemnify and hold harmless Reine and its affiliates from claims, liabilities, damages and expenses, including reasonable attorneys' fees, arising from your use of the Services, Your Content, or your violation of these Terms or of anyone's rights.
16.Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. If a dispute arises, you and Reine agree to first try to resolve it informally and in good faith by contacting the other party. Disputes that are not resolved this way may be submitted to binding arbitration under the rules of the American Arbitration Association. Nothing in this section limits any rights you have under the mandatory consumer protection laws of the place where you live.
17.Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will revise the dates at the end of this page and notify you by email or in the app before the changes take effect. Your continued use of the Services after an update takes effect means you accept the revised Terms.
18.General
These Terms, together with the Privacy Policy, are the entire agreement between you and Reine about the Services. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets.
